License Agreement

1. Grant of License

Subject to the terms and conditions of this License Agreement, Beckham Brown Clark plc ("BBC", "we", "our", "us") grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the Beckham Brown Clark mobile application and web platform (collectively, the "Application") on a device that you own or control, solely for your personal banking and financial services purposes.

This licence does not include the right to sublicense, transfer, or assign access to the Application to any third party. The licence is personal to you and is tied to your BBC account.

This Agreement applies to:

• The BBC mobile application (iOS and Android).
• The BBC Online Banking web portal.
• Any related software, APIs, tools, or digital services provided by BBC.
• Updates, patches, and new versions of the above ("Updates").

2. Permitted Use

You may use the Application to:

• Access and manage your BBC bank accounts, savings, loans, mortgages, and other financial products.
• Make and receive payments, transfers, and direct debits as permitted by your account terms.
• View statements, transaction history, and account notifications.
• Apply for BBC financial products and services.
• Communicate securely with BBC customer support.
• Use any features or tools made available by BBC from time to time within the Application.

All use must be in accordance with this License Agreement, the BBC User Agreement, and applicable laws and regulations.

3. Restrictions

You must not:

• Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Application or any part thereof.
• Remove, alter, or obscure any proprietary notices, labels, or branding within the Application.
• Use the Application for any unlawful purpose or in violation of this Agreement, the BBC User Agreement, or any applicable law.
• Attempt to gain unauthorised access to any BBC system, network, server, database, or other computer system.
• Transmit malware, ransomware, viruses, Trojan horses, worms, or other harmful code through or in connection with the Application.
• Use automated scripts, bots, scrapers, or crawlers to access or interact with the Application.
• Interfere with or disrupt the integrity, performance, or availability of the Application or its underlying infrastructure.
• Share your login credentials or allow any other person to access your account through the Application.
• Use the Application to process or facilitate transactions for any restricted or prohibited activities as described in the BBC User Agreement.
• Benchmark, test, or probe the Application for security vulnerabilities without BBC's prior written consent.

4. Ownership and Intellectual Property

The Application and all content, features, functionality, software, source code, object code, documentation, graphics, user interfaces, logos, trade marks, and trade secrets contained within it are the exclusive property of Beckham Brown Clark plc or its licensors, and are protected by UK and international copyright, trade mark, patent, and other intellectual property laws.

This licence grants you no ownership rights in the Application. Nothing in this Agreement transfers any intellectual property rights to you.

The Beckham Brown Clark name, logo, and all related marks are registered trade marks of Beckham Brown Clark plc. You may not use our trade marks without our prior written consent.

5. Updates and Changes

BBC may, from time to time, issue updates, patches, or new versions of the Application. You agree that BBC may automatically install Updates on your device where this is necessary to maintain security, regulatory compliance, or service functionality. Where Updates are optional, you will be prompted to install them through your device's app store.

BBC reserves the right to modify, suspend, or discontinue any feature of the Application at any time, with or without notice, subject to providing reasonable notice where the change materially affects your use of the services.

We may also revise this License Agreement from time to time. Changes will take effect 30 days after we notify you (via the Application, email, or in-app notification), unless you object or uninstall the Application before the end of that period. Continued use of the Application after the notice period constitutes acceptance of the revised terms.

6. Third-Party Services

The Application may integrate with or provide access to third-party services, including but not limited to:

• Open Banking providers and account information service providers (AISPs).
• Payment initiation service providers (PISPs).
• Identity verification services.
• Map and location services.
• Analytics and crash reporting services.

Your use of third-party services is subject to those providers' own terms and privacy policies. BBC is not responsible for the content, practices, or availability of third-party services. We recommend you review third-party terms before enabling any integrated service.

Your mobile operating system provider (e.g., Apple Inc. or Google LLC) is a third-party beneficiary of this Agreement and may enforce its terms against you.

7. Data Collection and Privacy

By using the Application, we may collect and store device sign-on data (including device ID and model), operating system version, app version, crash reports, usage analytics, and geolocation data (where you grant permission).

All personal data collected through the Application is processed in accordance with our Privacy Policy, which is incorporated into this Agreement by reference. You consent to such collection and processing as described therein.

We use industry-standard encryption (TLS 1.3) for all data transmitted through the Application and implement secure storage for sensitive data on-device.

8. Security Obligations

You are responsible for maintaining the security of your device and BBC account credentials. You must:

• Keep your password, PIN, biometric data, and any one-time passcodes confidential at all times.
• Enable device screen lock and use biometric authentication where available.
• Not allow any other person to use your device to access the Application while you are logged in.
• Log out of the Application when not in use on a shared or public device.
• Report any suspected unauthorised access to your account immediately to BBC on 0800 096 9779.
• Install security updates for both the Application and your device operating system promptly.

BBC will never contact you by phone, email, or in-app message to ask for your full password, PIN, or one-time passcode. If someone does, treat it as a fraud attempt and report it immediately.

9. Disclaimer of Warranties

The Application is provided "as is" and "as available" without any warranty of any kind, to the fullest extent permitted by applicable law. BBC does not warrant that:

• The Application will be uninterrupted, error-free, or free of viruses or other harmful components.
• Any errors or defects will be corrected.
• The Application will meet your specific requirements.
• Data transmitted through the Application will be secure from interception (though we take all reasonable precautions).

Nothing in this clause affects your statutory rights as a consumer under the Consumer Rights Act 2015 or any other applicable UK consumer protection legislation.

10. Limitation of Liability

Nothing in this Agreement limits or excludes BBC's liability for:

• Death or personal injury caused by BBC's negligence.
• Fraud or fraudulent misrepresentation.
• Any liability that cannot be lawfully limited or excluded under applicable UK law.

Subject to the above, BBC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Application, including loss of profits, loss of data, or business interruption, whether based in contract, tort, or otherwise, and whether or not BBC has been advised of the possibility of such damages.

In the case of a breach of a material obligation under this Agreement caused by slight negligence, BBC's liability shall be limited to typical, predictable, and direct average losses.

BBC's maximum aggregate liability to you under this Agreement shall not exceed £10,000 or the total charges paid by you to BBC in the 12 months preceding the claim, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Beckham Brown Clark plc and its directors, officers, employees, agents, and subsidiaries from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your violation of this License Agreement.
• Your violation of any applicable law or regulation.
• Your infringement of any third-party intellectual property, privacy, or other rights.
• Your misuse of the Application.

BBC reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you. You agree to cooperate with BBC's defence of such claims.

12. Termination

This licence is effective until terminated. BBC may terminate or suspend your licence immediately, without notice, if:

• You breach any term of this Agreement.
• Your BBC account is closed or suspended.
• BBC discontinues the Application.
• Required to do so by law or a regulatory authority.

You may terminate this licence at any time by uninstalling the Application and closing your BBC account. Termination does not affect any accrued rights or obligations.

Upon termination, all rights granted to you under this Agreement cease immediately. You must delete all copies of the Application from your devices.

13. Export Restrictions

The Application and its underlying technology may not be downloaded, exported, or re-exported to any country, entity, or individual subject to UK, EU, or US sanctions, including countries listed on the Office of Financial Sanctions Implementation (OFSI) consolidated list. You represent and warrant that you are not located in, or a national or resident of, any sanctioned country, and are not listed on any sanctions list.

14. Governing Law

This License Agreement is governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer protection laws in your country of residence require otherwise.

This Agreement, together with the BBC User Agreement and Privacy Policy, constitutes the entire agreement between you and BBC regarding your use of the Application.
